(a) To establish, develop, maintain technical and non- technical institutions, schools, colleges, libraries, universities, laboratories, hostel for boys and girls, skill development centers, competition, preparation centers, yoga and spiritual centers, sports training centers, vocational training centers, research and other institutions for the development and advancement of education and diffusion of knowledge among the public in general.
(b) To establish, maintain and run studentship, scholarship and award program and render other kind of aid to students including supply of study materials, books, stipend, medals and other incentives.
(c) To organize program for the promotions of pre-primary education, non-formal education, computer science & information technologies, land survey& revenue management training program, leadership development, techno-entrepreneurship development educational, infrastructure research and development, socio-scientific research, management.
(d) Publish study-materials, magazine, books, information materials, and journals: produce film, T.V. serials, documentaries, and audio-video cassettes on burning social, educational and scientific issues.
(e) To undertake, organize, investigate, participate, and sponsor, the welfare activity for the development and upliftment of the socio economic backward classes, irrelevant of cast, creed and gender.
(f) To set motion and play a proactive role in giving direction for a quiet social movement/revolution for socio-technical, financial, ethical prosperity and take spearheaded initiative to spread the gain or prosperity in the benefit of throughout masses of world of living creature.
(g) To organize, promote, undertake, sponsor, carry-out, all programs for the benefit of naturally-challenged person, schedule caste, schedule tribes, people under poverty line, Old-aged, widow, orphan child, divorced women, physically and mentally handicapped and down trodden irrespective of caste, creed, sex and religion such as.
(a) To undertake, establish, assist, organize or conduct the program of research, management and infrastructure development in the field of health & family welfare.
(b) To establish, organize, run or maintain Hospital, Nursing Home, Care and Care Centers, Medical education and research centre in state-of-the-art.
(c) To undertake, organize, establish or run the medical education centre, college and research centre.
(d) To undertake awareness, prevention, surveillance, screening, management health systems and research programs on Maternal and Child survival, communicable diseases like Malaria, Hepatitis, Leprosy, Meningitis, HIV/AIDS, STD, T.B., Dengue, non-communicable diseases like Cancer, Heart Diseases, Respiratory Diseases, Diabetes, Mellitus, and Injuries etc. Health Insurance, population control etc.
(e) To establish and run Drug De-addiction centre and undertake rehabilitation program for drug-abuse. Also organize awareness program for the control of drug-menace and abuse.
(a) To conduct and undertake the research of technologies advancement, productivity enhancement, cost effectiveness technologies and methodologies in the field of agriculture, allied industries, cottage industries, veterinary and co-operatives.
(b) To conduct awareness and exposition program of appropriate and low cost technologies in agriculture.
(c) Conduct the programs to ensure nutrition security, safe food processing and standardization.
(d) To conduct intensive research in the field of fisheries, aquaculture, poultry, dairying, livestock, sheep & goat, horticulture, floriculture, aromatic & medicinal plants, fruits, hybrid vegetables, mushroom etc. and land the benefit of research.
(e) To carryout study, research and development activities for water management, irrigation, fertilizer, farm mechanism, and biotechnology, integrated pest management method.
(f) To make the market-mechanism most favorable to the farmers to develop the infrastructure for the easy and safe delivery of agro-products. Also establish and run financial Institution for the benefit of agriculture and allied industries-related people.
(g) To form and patronize self help group (S.H.G.) for the promotion of micro-credit and optimum financial benefit to the rural people.
(a) To undertake all programs for ensuring social accountability in conservation, preservation and control to the environment, forest, wild life.
(b) To undertake awakening and intervention programs for enforcement of environmental law, Access to environmental information, town and country planning, integrated pollution control, atmospheric pollution, excreta disposal sedimentation and coagulation, Treatment and disposal of sewage and silage, biogas, water treatment methods and other nature conservation programs.
(c) To organize and run special sanitation and environment protection programs for Hospital, Fair, Meals, places of Pilgrimage, Railway stations, Bus stands, Canteens, Hotels, Industrial ergonomics.
(a) To promote education, training and research programs in Rural Management and generate a Human Resource Force to settle the needs of people in rural as well as in urban areas.
(b) To organize, conduct, sponsor, the intensive program on Rural housing, Rural finance, Micro credit facility to the marginal farmer, Marketing mechanism infrastructure development, Cottage & small scale industries development, co-operative and cooperation, wasteland Development Extension and training program, Investment Promotion Schemes for the promotion of rural infrastructure, watershed and water management (Water conservation and purification) Soil conservation and unutilized resource development program, welfare and strengthening program for marginal and underprivileged farmers, promotion of cost effective technologies, rural sanitation including low-cost drainage system.
(a) To carry out all the programs for the relied, rehabilitation, welfare and development of women in destitute, old-aged, handicapped, street children and child labor, widow, orphan, beggar, sex-worker, schedule caste, schedule tribes, backward and other under privileged people.
(b) To undertake and run the integrated program on street children rehabilitation, juvenile justice, adoption resource, agency, social defense, civil defense, old age home/multi service center, center of legal awareness, aids & rights, treatment and rehabilitation of addicts, persons with disabilities, coaching and allied assistance, construction of Hostel building and other infrastructure for complete rehabilitation centre, vocational training centers, women empowerment, animal welfare, stop prostitution, eradication of poverty.
(a) To undertake, assist manage & organize the all the programs of urban development, social economical development particularly public health engineering, slum community rehabilitation and development, civic amenities and public services, town planning, master plan preparation and implementation, water and hydrometric studies, research and management, sewerage and drainage system and proper disposal of harmful waste, Solid waste management of house hold, Medico waste of hospitals and Nursing Homes and waste management. Establishment of water treatment plant on the bank of rivers to protect them from pollution.
(b) To establish and art of state centre for education, training, and research in Urban planning and development.
(a) To carry out all the programs/projects for the awakening of national integration, communal harmony, co-operation and co-operative behavior attitude development, moral and social habit development in the youth and to ensure participation in the development of nation and humanity. All indoor and outdoor sports events for the mental and physical development of the youth.
(b) To organize and install infrastructure for the promotion of sports, yoga, meditation among youth.
(a) To carry out all the programs science & Technology and communication Information Technology for popularization, use and inculcation of scientific temper among the people. Also ensure the use of technologies in the field of rural development, appropriate technology, rural technologies, environment and ecology, non-conventional energy, formal education, computer education etc.
(b) To organize the program and set-up infrastructure, for the creation of techno-entrepreneurship through structured training programs and other facilitating mechanisms.
(c) To promote research development and adaptation of science and technology for improving quality of life of traditional artisans, landless labor and poor section of the Society.
[A] To undertake, organize, investigate, participate, sponsor, and conduct, the Human rights, preservation of fundamental rights, Protection and safeguards to the victims of human rights, violations, for the freedom, dignity and peace of people. Also undertake case study, research, publications, treaties, with national and international institutions and foundation or endowment of award and prize, for effective implementation of Human Rights.
[B] To encourage, promote or develop alternative system of medicine i.e. Homeopathy, polymath, Ayureved, Yunani, Yoga, naturopathy, meditation, acupressure, acupuncture etc. Also promote preventive and curative health services.
[C] To organize or conduct all of the programs of natural disaster management and ensure relief, rehabilitation of victims and set-up precautionary/pre-information mechanism of natural disaster.
[D] To organize or run the programs for the development of culture, tourism, and national memorials, natural resources management, forestation and eco-development, environment education, environmental information system, technology up graduation/establishment/modernization of survey, test marketing & brand promotion, gender issues, promotion of blood, eye and human limbs donation, promotion Indian Languages, prevention of atrocities on women, unversalisation of elementary education, rural energy program bio-gas development program, khadi & sum scale industries promotion, administering, road safety programs, social assistance program, promotion of rural non-farm enterprises, rural and micro-financing.
[E] To organize or conduct the programs or International peace, justice and co-operation, interchanges & interaction, legal aid and protection, awareness and consciousness building against social evils, social crime, terrorism stop program, suicide prevention, prisoner education & welfare, community-based rehabilitation program, fighting Corruption and restructuring, labor issues, value added and sustainable programs, consumer education and protection etc.
[F] To undertake, develop, manage, arrange or organize antique show, art show, art show, audio and video show, fashion show, magic show, thematic puppet show, charity premier show, lottery, rally, dance events, fancy dress competition, fete greeting card and handicraft exhibition film shows foundation or endowment of award and prizes.
[G] And to participate in all emerging issues, whenever occurs on the national and/or international arena and to do all such other lawful acts deeds and things as incidental and conducive to the attainment of the objects or any one of them.
[H] To acquire, hold, transfer, mortgage, lease out and dispose of and otherwise deal with property of the Trust in any manner whatsoever and get loan for the fulfillment of objective of the Trust.
[I] To undertake, carryout, promote, sponsor, discharge, fulfill, participate, collaborate, manage or organize the programs with people’s co-operation, national and international Government and Non Government agencies and to carry out all necessary acts for the achievement of the objectives.
[J] All the incomes, earnings, movable/immovable properties of the Trust shall be solely utilized and applied towards the promotion of its Aims and objects only as set forth in the deed of the Trust and no profit thereof shall be paid or transferred directly or indirectly by way of dividends, bonus, profits or in any manner whatsoever to the present or the past member of the Trust or to any person claiming through any one or more of the present or the past members. No members of the Trust shall have any personal claim on any movable or immovable properties of the Trust or make any profits, whatsoever, by virtue of his membership.
[K] To accept loan, Grant-in-aid, donation (either in cash or kind), subsidy or other assistance lawfully, either from National and/ or International agencies for the attainment of the objective of the Trust.
(II.) If any or more of the objects specified are held not to object of social, cultural and educati0nal nature, the trustees shall not such object or objects as the same are not Incorporated in these presents, but the validity of trust for promoting social, cultural and educational development of the people shall not be effected in any manner.
(III.) The financial year of the trust shall start from 1st April every year, provided that the Board of Trustee shall be at liberty to change the same from time to time if they so deem it fit and proper. The first financial year of the Trust shall close on 31st March 2016.
(IV.) The main officers offices of the Trust may be established at such place or places and may change such places from time to time as the Board of Trustee may think fit.
(V.) The number of the Trustee shall not in any case be less than Five and more than seven at any time.
(VI.) It is agreed upon and declared that Five Trustee namely Mrs. Anima Rakshit, Mrs. Tulika Verma, Mrs. Nidhi Verma, Miss. Trishala, Mrs.Rashmi Srivastava will be the life members of the Trust and will be members of the Board of Trustee and in case of voluntary retirement or demise or leaving the country for good and settling abroad or ceasing to be Trustee of any of them, their nominee or heir shall be taken in as Trustee and with the same status of life membership and this process of adopting the nominee or heir of a life member in event stated above will continue.
(VII.) The term of other Trustee will be for three years from the date of setting of this trust. They may continue for subsequent terms in merit of their dedication and indulgence in the pursuit of achieving the established aims and of the trust so created.
(VIII.) If the income of the trust property in a particular year is not fully utilized, the unexpected income, subject to the applicable provisions of the Income Tax Act, 1961, shall be carried over to the next year and spent in such subsequent year or years for the advancement of any of the objects of the trust.
(IX.) It is hereby agreed and declared that the Board of Trustee shall hold and stand possessed of the presents given by the settler and/or other donors hereinbefore and hereafter referred to as the Trust property which expansion shall include and be demand to include all money, movable and immovable property and other investment and also all other cash amount which may be in the hands of the trustees and other money and properties acquired or gifted or donated to this trust by the settler/ Trustees or any other people whatsoever as under these present for fulfilling the cherished objects of this trust.
(I.) The Board of Trustee shall from time to time, after meeting the expenses of and incidental to the management of the Trust Property and / or the trust, decide the particular Object or objects for which the income or corpus of the trust fund or properties for the time being available shall be applied.
(II.) The Board of Trustees may accept any donation or contribution on cash or in kind from any person, firm, company, corporation, association, institutions or trust (including settler or the trust or any one or more of them upon such terms and conditions as they any, in their absolute discretion, think fit and of which are not inconsistent with the objects of the trust. The Board of Trustee may also take over management of any institution on such terms as they think fit and may run/or manage and/or administer such institution.
(III.) Without affecting the generality of powers and functions of the Board of Trustee to manage and administer the trust, the Board of Trustees shall have the following functions.
(a) To borrow if needed, against the security of the assets of the Trust by way of bank overdrafts, lone or otherwise, as may be necessary for the benefit of the trust and for more effectively carrying out the objects of the trust, provided however, the Board of Trustees unanimously agree on such borrowing and limited to the terms of their decision or agreement authorize two or more of the trustees to execute and such documents, deeds, papers etc. as may be necessary therewith.
(b) To arrange for and/or authorize the signing or execution of any agreement contract, instrument, document or any other paper or writing required to be signed or executed on behalf of the Board of Trustees by any two of the Trustees to nominated in this behalf by Board of Trustees and to make the same effective and binding as if the said agreement, contract, instrument, document or paper or writing were signed by all the trustees.
(c) To appointing or make provision for the appointment subcommittees of Trustees and/or order to or supervise or conduct specified joles or functions of Trust matters in such manner or subject to such rules and regulations as the Board of Trustees may prescribe.
(d) To authorize specifically any one or more trustees to hold any property or any fund or any investment of the trust or to act or to do on behalf of the trust all such acts or duties which may be assigned in advance and subject, however to the terms of these Presents in such manner and subject to such terms and conditions, rules and regulations as the board of Trustees may, from time to time, think fit and proper.
(e) To spend any portion of the corpus of the income of the Trust Fund for purchasing any land and/or constructing any building or buildings and in the name of the Trust the purpose of Carrying out, promoting and/or executing any or all of the objects of Trust.
(IV.) The Secretary of the Board shall cause true and correct account to be kept of all moneys, received and spent and of all matters in respect of thereof in course of management of the trust properties or in relation to the carrying out of objects and purpose of the Trust as well as of all the assets, credits and effects of Trust properties which will be presented by him/her in the subsequent meeting of the Board of Trustees for the examination and approval.
(V.) The Board of Trustee may invest the Trustee estate either in purchase of immovable properties or mortgage immovable properties or in such manner as allowed by law as may enforce from time to time and to convert alter vary dispose of or transfer such investments shall not made which are directly or indirectly for the benefit of any person referred to in sub-section (3) of section 13 Income Tax Act, 1961 or any subsequent amendments as may be made from time to time.
(VI.) The Board of Trustees shall be at liberty to sell such portion or portions of the movable or immovable properties forming part of the Trust estate either by public auction or by private contract at such price or prices and on such terms and conditions relating to title or otherwise in all respects as they may, in their absolute discretion think fit and to receive or vary any contract for the sale thereof and to resale the same without being answerable for any loss occasioned thereby and to execute all conveyances or other assurances and to pass valid and effectual receipts and discharges for all money received by them.
(VII.) The Board of Trustee shall keep an account or accounts with any Bank or Banks operate such accounts whether in debit or in credit and give all appropriate instructions to the banker or bankers and authorize by appropriate resolution two or more trustees jointly with an agent appointed by them in this behalf to operate such account or accounts.
(VIII.) The Board of Trustees may pay all charges and outgoing payable in respect of any immovable property for the time being forming part of the Trust fund and may carry out repair required to be done to the same and keep the same insured against loss or damage by fine and may incur all other costs, charges and expenses incidental to the administration and management of the Trust Estate and properties for the time being belonging to the trust and the may, in their absolute discretion think fit.
(IX.) The Board of Trustee may manage or supervise the management of nay lands, hereditaments and premises for the time being comprised in the Trust estate or any part thereof with power to erect, pull down, rebuild, add, alter and repair houses and other buildings and to built drains and make roads and fences and otherwise to improve and develop and to cultivate or cause to be cultivated all or any of the says lands hereditaments and premises and to ensure houses and buildings against loss or damage by fine and/or other risks or to let, lease make allowances to and arrangements with tenants agriculturists and generally to deal with the said lands, hereditaments and premises as they deem fit in their absolute discretion.
(X.) The Board of Trustee may appoint secretaries, managers, lawyers, solicitors, auditors, architects, engineers, surveyors or other employees for the purpose of management and supervision of trust estate, for collection of rent, effects and profit for keeping the accounts and records and for other purposes of the Trust.
(XI.) The receipt granted only by the Secretary of the Trust for money, stocks, funds, shares securities or investments paid, delivered or transferred to the Trust in exercise of the Trust or powers hereof shall effect fully release and discharge the person or persons paying, delivering or transferring the same there form and from seeing or from being bound to see the application thereof or being answerable for the loss or misappropriation thereof.
(XII.) The Board of Trustee may demise the immovable property or properties for the time being and from time to time belonging to the trust either from year to year or for any fine term or for any term of year or monthly tenancies at such rent or subject to such conditions as they may think proper and also accept surrenders of lease and tenancies as generally manage the same in such manner as they think proper.
(XIII..) The Board of Trustee shall have full power to compromise or compound attractions suits and other proceeding and settle differences and disputes touching the trust estate and/or the trust properties and to refer any such differences or dispute to arbitration and to adjust and settle all accounts relating to the trust estate and all trust properties and to all other acts and for any bonafide loss occasioned thereby.
(XIV.) The Board of Trustee may join, corporate and amalgamate the trust created by these presents or any portion thereof with any trust or institution having allied or similar objects upon such terms as they may, in their absolute discretion, think fit.
(XV.) The Board of Trustees may from time to time, frame schemes and rules and regulations to carry out objects of the trust and for managing the affairs of the Trust and otherwise for giving effects to the objects and purpose of the Trust and vary the same from time to time as they may, in their discretion, deem fit and proper.
(XVI.) The Board of Trustee shall be entitled at their discretion from time to time start, abolish and restart any institution, to impose any condition or conditions to any subscription or donation made by them and to earmark any portion of the Trust property or income for any particular object or objects.
(XVII.) The Board of Trustee may reimburse and pay discharge, out of trust fund all expenses incurred by them or on their behalf in or about the execution of the trust or any of their duties under these presents including traveling expenses, but the Trustees will not be entitled to any remuneration.
(XVIII.) Any Trustee may retire at any time without assigning any reason and without being responsible for any costs occasioned by such retirement, but such retirement must not be deliberate to put the trust in some financial loss and/or so retiring Trustees will responsible for liabilities incurred to the Trust due to his/her commission and/or omissions and the trust shall not be liable for the same unless endorsed by the Board of Trustees.
(XIX.) The surviving or continuing may notwithstanding any vacancy in their Board, act as trustees, provided, however, that if the number of trustees shall fall below three, the minimum fixed by these presents the trustees shall no, except for the purpose to filling any vacancy, act so long as the number is below the said.
(XX.) The Trustee at the meeting shall form the quorum for any meeting of the Board of Trustees.
(XXI.) The Trustees for the time being shall elect from amongst them one President and one Secretary and they shall hold office for three years unless they resign or refuse to act as President and/or Secretary or otherwise cease to be Trustees. Election of the President and Secretary shall be done in the very first meeting of the Trust to be convened within fifteen days the date of foundation of the trust.
(XXII.) The Secretary of the Board of Trustees shall be executive head of the Trust and shall be deemed to have all powers and duties to act on behalf of the Board in furtherance of the aims and objects of the trust subject to join on subsequent, general or specific authorization by the Board in its next meeting in behalf.
(XXIII.) The Secretary will make routine correspondences on behalf of the Trust and will function as custodian of all the important records, documents and papers of the Trust which shall be maintained and kept in the office and/or offices of the Trust and shall be available for investigation and/or perusal at any time during the working hours on all days except holidays to any Trustees and/or officers and/or persons duly authorized and/or responsible for the same.
(XXIV.) In case of resignation or death or ceasing to be Trustee of the President and/or a Secretary from amongst them within a reasonable period of fifteen days from such an event.
(XXV.) All proceedings and questions and matters arising at the meeting of the Board of Trustees shall be decided by a majority of votes and in case of equality of votes the President shall have second casting vote, provided, however that notwithstanding Anything herein stated no question dealing with the disposal of the corpus or any of the Trust Properties and/or investment. Out of the Trust corpus shall be divided expect with the consent of the President of the Trust.
(XXVI.) In case of differences of opinion between the Trustees and opinion of the majority shall prevail and if the Trustees are equally divided in any matter the President shall have the casting vote.
(XXVII.) Notice to the meeting of the Board of Trustees and all communications may be sent to the trustees at their addresses registered for the time being in the record of the Trust.
(XXVIII.) All meetings of the Board shall be held at such place and at such time as the President of the Trust shall decide from time to time. There shall be at least one meeting of the Board of Trustee within a period of every three months.
(XXIX.) Notice of the meeting of the Board shall be circulated among or dispatched to the Trustees, at least seven days in advance and each notice will specify the date, place, time and agenda of the meeting.
(XXX.) And emergent meeting of the Board may be convened within twelve hours notice and information regarding such meeting will be given hours notice and information regarding such meeting will be given by telephone, telegram etc. and/or through individual contacts with the available Trustees, but the quorum for such a meeting also shall be three Trustees.
(XXXI.) A Trustee who is unable to be present at meeting of the Board of Trustees may send his/her views on the agenda in writing and such expression of opinion shall be taken to by his/her vote on the matter concerned.
(XXXII.) The Settler shall prepare the agenda of each meeting of the Board as per requirement and furtherance of the function of the Trust and shall include all matters in the agenda as suggested by way of the Trustees in writing in advance.
(XXXIII.) The minutes of proceedings of every meeting of the Board of Trustees shall be entered by the Secretary in a book to be kept for the purpose and signed by the President of such meeting and, when so entered, signed and subsequently read over by the Secretary and confirmed in the next meeting, or conclusive evidence of the business and other matters transacted at such meeting.
(XXXIV.) In absence of the President of the Trust in any meeting of the Board of Trustees due to unavailable reason the senior most life member will preside over the meeting and in absence of any life member also in such meeting the senior most members in age will take the chair.
(XXXV.) Vacancy and/or vacancies arising out of the expiry of the terms of the such Trustee other than life members i.e. three years as stated earlier in clause 6 (vi) pf this creed or otherwise the remaining members of the Board of Trustee of majority will decide about the inclusion of new set of members so included in the Trust and on their signifying their acceptance in writing to the effect of their accepting the appointment to entitled along with the remaining trustees to carry out all the duties and functions of a Trustee without any other deed or writing.
(XXXVI.) No person being
(a) An undercharged insolvent, or
(b) Convicted of an offence involving moral turpitude, or
( c) Of unsound mind; or
(d) A minor. Shall be eligible to be trustee.
(XXXVII.) A person shall cease to be a trustee in any of the following events
(a)If he/she dies; or
(b)If he/she declared bankrupt; or
(c)If he/she becomes insane or otherwise become incapable to act; or
(d)If he/she resigns; or
(e)If he/she is removed; or
(f)If he/she fails to be present consecutively in four meetings of the Board provided, however, that the reasons explained for his/her such absence in not accepted as genuine or sound by the Board.
(XXXVIII.) The Board of Trustee shall be entitled to sue in the name of the Trust and may similarly be sued in the name of the Trust.
(XXXIX.) The Board of Trustee by an unanimous vote all the Trustees for the time being except the trustees proposed to be removed, remove any trustee, permanent or otherwise, from office after finding the trustee, proposed to removed, guilty of serious misconduct in relation to or concerning the trust estate or trust affairs and after arriving definite conclusion for the reasons to be recorded in writing the discontinuance of the Trustee proposed to be removed, as trustee of these present was desirable keeping the objects of the Trust in view and other related and connected matters provided however that no conclusion of such guilt shall be arrived at without giving to the trustee, proposed to be removed, a full and fair opportunity of explaining the conduct and/or the charges leveled against him/her for his/her terminal and the decision of the Board of Trustee in this behalf shall be final and binding and shall not be called in question anywhere.
